1. Acceptance of Terms

By accessing or using InvoiceRunner ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

InvoiceRunner is an automated invoice processing service that:

• Monitors connected email accounts for invoice attachments
• Extracts data from invoices using AI technology
• Creates draft bills in connected accounting software
• Provides a dashboard for reviewing and managing processed invoices

3. Account Registration

To use InvoiceRunner, you must:

• Create an account with accurate and complete information
• Be at least 18 years old or the age of majority in your jurisdiction
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Third-Party Integrations

Our Service integrates with third-party services. By connecting these services, you agree to:

4.1 Email Providers (Gmail, Microsoft Outlook)

• Grant us read access to emails containing invoice attachments
• Comply with Google's and Microsoft's terms of service
• Understand that we only access emails for invoice processing purposes

4.2 Accounting Software (Xero, QuickBooks, Zoho Books, FreshBooks, Sage)

• Authorize us to create draft bills on your behalf
• Comply with the respective platform's terms of service
• Understand that all bills are created as drafts for your review
• Review and approve all bills before finalizing them

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Process fraudulent or falsified invoices
• Attempt to circumvent security measures
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code
• Use the Service to process invoices you are not authorized to handle
• Share your account credentials with third parties
• Exceed reasonable usage limits that may impact other users

6. AI Processing & Accuracy

Our Service uses AI technology to extract invoice data. You acknowledge that:

• AI extraction may not be 100% accurate
• You are responsible for reviewing all extracted data before approval
• Draft bills should be verified before being finalized in your accounting software
• We are not liable for errors in AI-extracted data that you approve

7. Pricing & Payment

Current pricing:

• Free Trial: 10 invoice extractions (one-time only) to try InvoiceRunner, no credit card required. A paid plan is required to continue after the trial.
• Pro Plan: $29/month - 200 invoice extractions per month, all integrations, priority support
• Firm Plan: $79/month - 1,000 invoice extractions per month, for accounting firms
• Credit Packs: Pro and Firm users can purchase additional credits: 50 credits for $5, 100 credits for $9, or 250 credits for $20

After your free trial, you must choose a paid plan to continue using InvoiceRunner. Paid plan credits reset monthly. Unused credits do not roll over. Payment is processed securely via Stripe. You may cancel your subscription at any time.

8. Data Ownership

You retain all ownership rights to your data, including invoices, extracted information, and business records. We claim no ownership over your content. We only use your data to provide and improve the Service as described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• We are not liable for errors in invoice processing that you approve
• We are not liable for issues caused by third-party service outages
• Our total liability shall not exceed the amount paid by you in the past 12 months

10. Indemnification

You agree to indemnify and hold harmless InvoiceRunner, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

12. Termination

Either party may terminate this agreement at any time:

• You may close your account at any time through the settings page
• We may terminate your account for violation of these terms
• Upon termination, your right to use the Service ceases immediately
• We will retain your data for 30 days after termination, then delete it

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the new terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Singapore.
